By accessing or using HowdyTrade ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. HowdyTrade is a product operated by Arora Software Holdings LLC, a Texas Limited Liability Company ("HowdyTrade," "we," "us," or "our"). Your use of the Service is also governed by our Privacy Policy, which is incorporated herein by reference.
HowdyTrade is a software-as-a-service (SaaS) platform that enables home improvement contractors to generate digital job reports, collect customer reviews, manage referrals, and communicate with homeowners via email and SMS messaging. The Service is provided to contractors ("Users," "Customers," or "you") who use it to interact with their customers. HowdyTrade acts solely as a technology platform transmitting communications at Customer's direction. HowdyTrade does not initiate, select, or control the recipients of communications sent through the Service.
To use the Service, you must create an account and maintain an active subscription. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately if you suspect any unauthorized access to or use of your account. You must be at least 18 years of age and legally able to enter into binding contracts to use the Service. By creating an account, you consent to receive electronic communications from us regarding your account and the Service, including notifications, updates, and administrative messages.
Subscription fees are billed on a recurring basis according to the plan you select. Payment is due immediately upon subscription or renewal. Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You authorize us to charge your designated payment method for all recurring fees until you cancel.
If a payment fails, we may attempt to charge the payment method again or suspend access to the Service. We are not liable for any damages or service interruptions resulting from failed or declined payments. You are responsible for keeping your payment information current.
Subscription fees are non-refundable except where required by applicable law. If you cancel, cancellation takes effect at the end of the current billing cycle and you will not receive a prorated refund for the remaining period.
We may change our fees upon reasonable notice. Fee changes take effect at the start of your next billing cycle following the notice.
As part of the Service, HowdyTrade may send automated text messages and emails to phone numbers and addresses provided by you or your customers. By providing a phone number and checking the SMS opt-in checkbox on our web forms, the recipient consents to receiving automated text messages. Message frequency varies but is typically up to 3 messages per month. Message and data rates may apply. Recipients may reply HELP for help or STOP to cancel at any time. We reserve the right to suspend SMS messaging for any number that has opted out or for numbers that are invalid or unreachable.
By using the Service, you represent and warrant that you have obtained all necessary and legally required consents from your customers to receive text communications and other electronic messages sent through the Service. You further authorize HowdyTrade to act on your behalf to facilitate and manage these communications, including but not limited to the transmission of job reports, review reminders, referral links, and appointment updates, as necessary to provide the Service.
Customer acknowledges that HowdyTrade acts solely as a technology platform transmitting communications at Customer's direction. Customer assumes all responsibility for compliance with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state telemarketing laws, carrier messaging requirements, and applicable privacy laws. Customer is solely responsible for the content of all communications and for ensuring recipients have provided valid consent. HowdyTrade is not responsible for determining whether consent has been obtained or for the legality of any communication initiated by Customer.
The Service may include features that generate text, review suggestions, or other content using artificial intelligence. AI-generated content is provided for convenience only and may contain errors or inaccuracies. Customer is solely responsible for reviewing, editing, and approving all generated content before sending it to recipients. HowdyTrade makes no warranty regarding the accuracy, appropriateness, or legality of AI-generated content. The Service does not provide legal, tax, accounting, insurance, or other professional advice. Any content generated or displayed through the Service should not be relied upon as professional advice.
You agree not to use the Service to: (a) send unsolicited commercial messages (spam); (b) send messages to recipients who have not consented to receiving them; (c) violate any applicable law or regulation, including telephone consumer protection laws and carrier messaging guidelines; (d) infringe the intellectual property rights of any party; (e) attempt to disrupt or compromise the security of the Service; or (f) use the Service to build, train, or develop a competing product. Violation of these rules may result in immediate suspension or termination of your account.
You retain ownership of all content you submit to the Service, including job data, photos, and customer information. You grant HowdyTrade a non-exclusive license to use, store, and process your content solely for the purpose of providing the Service to you. You are responsible for ensuring you have the necessary rights and consents to submit any content, including customer photos and contact information. We may collect and use anonymized and aggregated usage statistics to improve the Service, provided that such data does not identify you or your customers.
You are responsible for maintaining your own backups of any data submitted to the Service. HowdyTrade is not liable for any loss, corruption, or deletion of Customer data. Upon termination of your account, we may delete all of your data from our systems within thirty (30) days. We are not obligated to provide data exports after termination.
The Service, including its design, features, and underlying software, is the intellectual property of Arora Software Holdings LLC. You may not copy, modify, distribute, lease, sublicense, scrape, reverse-engineer, create derivative works of, benchmark publicly, or use the Service to build competing software without our prior written consent. All rights not expressly granted to you in these Terms are reserved by us.
If you believe your intellectual property rights have been infringed through content uploaded to or transmitted via the Service, please contact us at karora@howdytrade.com with a description of the copyrighted material, its location on the Service, and your contact information. We will investigate and take appropriate action, which may include removing the infringing material or terminating the account responsible.
The Service integrates with and relies upon third-party services, including but not limited to AccuLynx, Twilio, email providers, and payment processors. We are not responsible for changes, interruptions, discontinuation, or failures of any third-party service. Our ability to provide the Service is dependent on the continued availability and functionality of these third-party services, and we make no guarantee regarding their reliability or performance.
The Service is provided on an "as available" basis. We do not guarantee any specific uptime or availability. We may suspend or interrupt the Service for maintenance, upgrades, security reasons, or other operational needs without prior notice and without liability. We are not liable for any downtime, service interruptions, or delays caused by us, our providers, or circumstances beyond our control.
From time to time, we may offer new or experimental features ("Beta Features"). Beta Features are provided "as is" and may be modified, discontinued, or removed at any time without notice. We make no warranty regarding the reliability, accuracy, or continued availability of Beta Features.
We use commercially reasonable measures to protect information submitted to the Service. However, no system is perfectly secure, and we cannot guarantee the absolute security of your data. You acknowledge that you provide information to the Service at your own risk.
Both parties agree to maintain the confidentiality of any non-public information disclosed by the other party in connection with the Service, including customer lists, pricing, revenue, contracts, and photos. Neither party will disclose such confidential information to third parties without the other party's consent, except as required by law. This obligation survives termination of these Terms.
If you provide feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant HowdyTrade a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without any compensation or obligation to you.
We may suspend or restrict access to the Service at any time, with or without notice, for reasons including but not limited to: (a) non-payment or failed payments; (b) abuse, misuse, or violation of these Terms; (c) legal requests or court orders; (d) carrier or messaging guideline violations; (e) excessive or abusive API usage; (f) security concerns; or (g) suspected fraudulent activity. We reserve the right to suspend or terminate accounts that violate these Terms, create security risks, are required by law, or where continued service is not commercially reasonable. Upon termination, all of your data may be deleted from our systems within thirty (30) days. You may cancel your account at any time through the Service or by contacting us.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. We are not responsible for the delivery or receipt of SMS or email messages, which depend on third-party carriers and providers.
To the maximum extent permitted by law, Arora Software Holdings LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
We are not liable for any damages or service interruptions resulting from: (a) carrier, ISP, or telecommunications failures; (b) outages or disruptions of third-party services including Twilio, Google, AccuLynx, or payment processors; (c) internet or network failures; (d) Customer misuse of the Service; or (e) third-party integrations or dependencies.
You agree to indemnify and hold harmless Arora Software Holdings LLC and its affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including violations of SMS, telemarketing, or privacy regulations.
We are not liable for any delay or failure to perform our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, internet or network outages, cloud provider outages, carrier failures, war, terrorism, labor strikes, government actions, or other circumstances beyond our control.
You agree to comply with all applicable export and import laws and regulations. You may not use the Service in any manner that would violate applicable export control or economic sanctions laws.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in Austin, Texas, under the rules of the American Arbitration Association, rather than in court. The arbitrator's award shall be final and binding. You and HowdyTrade each waive any right to participate in a class action or class-wide arbitration, and agree that claims may be brought only in your or our individual capacity. Both parties waive their right to a jury trial to the fullest extent permitted by law.
We may update these Terms from time to time. We will notify Users of material changes via email or through the Service. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
